1. Who we are
ReplaProject is a product of Tradiant LLC, a company registered in Georgia. Contact: hello@replaproject.com. Full company details are available on request.
2. What we sell
ReplaProject is project management software you install on your own server. You buy a licence to the complete source code. It is not a subscription and not a hosted account, and we may separately sell setting it up for you or running it for you — those are services, described on the website, and they do not change the licence.
3. Buying and payment
Tradiant LLC is the seller and appears as such on your receipt. Checkout runs on our own ReplaPay installation. You may pay by card, Apple Pay or Google Pay — processed by Stripe on Stripe’s own hosted page — or in cryptocurrency, processed by NOWPayments.
Prices are shown in US dollars and exclude any sales tax or VAT, which is shown before you pay. After payment you receive a download and a licence by email, normally within one working day.
By buying, you agree that we may email you about your purchase: how to get started, updates and support for the product, and now and then a related offer from us. Every one of these emails has an unsubscribe link, so you can stop them whenever you like.
Monthly hosting is card only, because a cryptocurrency payment cannot renew itself.
4. What your licence lets you do
There are two licences. The one you bought is named on your invoice.
Single Company Licence. Install and run ReplaProject on any number of servers owned or rented by your own company, for your own company’s work, for as many people as you like. Run it for as many brands as you like inside that one company. Change the code however you wish for your own use.
Agency Licence. Everything above, and in addition you may install and run ReplaProject for your clients, rebranded as your own service, and charge them what you like for it.
Your licence does not expire. You may keep using your copy even if we stop trading.
5. What your licence does not let you do
- Sell, give away, publish or share the source code we wrote — as a product, a template, a starter kit or a repository, whether changed or not.
- Offer ReplaProject itself to the general public as a competing sign-up service. Running it for your own named clients is allowed under the Agency Licence; opening it to the public is not.
- Remove or hide the third-party notices file or the licence notices in the code.
- Share your download link or your licence outside your company.
If you want to do something this does not cover, write and ask. We would rather agree something than find out later.
6. Open-source parts
ReplaProject is built on open-source components, each under its own licence — Flask, SQLAlchemy and a small number of others, all BSD, MIT or Apache. Those licences apply to those parts and are listed in the package you receive. Nothing in these terms takes away a right those licences give you.
7. Your data
ReplaProject runs on your server. We do not hold, see or back up anything you
put into it, and the software sends none of it to us. While a licence key is
saved, it makes one request a day to pay.tradiant.net (plus one
shortly after each restart) to fetch the signed list of withdrawn licence keys.
That request sends no project, customer or usage data, and the software keeps
working normally if it fails or is blocked. Your backups are yours to take; the
software includes the tools to do it.
If we are running it for you under a hosting agreement, we hold it on your behalf, we do not use it for anything else, and you can have a copy and leave at any time.
8. Support and updates
Every licence includes 30 days of setup support from purchase, and 12 months of updates. Both can be extended afterwards, and neither is compulsory.
A lapsed support or update plan never switches the software off. Your copy keeps working, for ever, exactly as it was.
9. Refunds
If you have not downloaded the files, you can have a full refund within 14 days — just ask. Once the files have been downloaded the sale is final, because we cannot take the source code back.
If you are a consumer in the UK or the EU, you have a statutory 14-day right to cancel a purchase of digital content. By downloading immediately you agree that supply begins at once and that right ends. We are not removing that right; we are telling you when it stops.
If the software does not do what this website says it does, write to us. We would rather fix it or refund you than argue.
10. Using this website and the demo
Do not attempt to break, overload or gain unauthorised access to this website, the demo or our other services. The demo is read-only and shared with everybody; please do not put anything private into it.
11. No warranty
The software is provided as is. We do not warrant that it will be uninterrupted or error-free, or that it fits a particular purpose you have in mind. You run it on your own infrastructure and you are responsible for your own backups and your own security.
12. Limit of liability
Our total liability to you, for anything arising out of the software or these terms, is limited to what you paid us. We are not liable for lost profits, lost data or business interruption. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
13. Ending the licence
If you break the terms in section 5 we may end your licence, and you must stop using and delete the source code. We would contact you first. We cannot and do not switch off a copy already running on your server.
14. Which law applies
These terms are governed by the law of Georgia, and its courts have jurisdiction. If you are a consumer, this does not take away the protection of the mandatory laws of the country you live in.
15. The whole agreement
These terms, plus the licence file included with the software and your invoice, are the whole agreement between us. If a court finds any part unenforceable, the rest still stands.
